Terms and Conditions

1. Acceptance of Terms

These Terms and Conditions ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and Alinea, LLC, a Puerto Rico limited liability company with its principal mailing address at PO Box 260160, San Juan, PR 00926 ("Speeket," "we," "us," or "our"), governing your access to and use of the Speeket mobile application, associated web pages, and related services (collectively, the "Service").

2. Description of Service

Speeket provides a voice and video communication bridge that allows a registered user ("Account Holder") to generate a unique connection code or link (a "Speeket Code") and share it with a third party ("Recipient") in order to establish a live voice or video call, without either party disclosing their personal telephone number to the other. The Service is intended to facilitate an initial conversation between individuals who have connected through a third-party platform (including, without limitation, dating applications) prior to the exchange of personal contact information.

Speeket is an independent service and is not owned by, affiliated with, sponsored by, or endorsed by any third-party dating application or platform.

3. Eligibility

You must be at least eighteen (18) years of age to create an Account Holder profile or to use the Service in any capacity. By using the Service, you represent and warrant that you are at least eighteen (18) years old and that you have the legal capacity to enter into these Terms.

Account registration is performed through Google Sign-In. Speeket relies on this representation as self-declared by you at the time you agree to these Terms and does not independently verify your age through Google Sign-In, government-issued identification, or any other means. Google Sign-In does not verify age on Speeket's behalf. Providing false information regarding your age constitutes a material breach of these Terms and may result in immediate suspension or termination of your account, at Speeket's sole discretion.

4. Accounts and Speeket Codes

4.1 Account Holder

Use of the mobile application requires registration of an account via Google Sign-In. The Account Holder is solely responsible for maintaining the security of their Google account credentials and for all activity occurring under their Speeket account.

4.2 Recipient Access

A Recipient may join a call through a Speeket Code via a web browser without creating an account. Recipients are bound by the applicable provisions of these Terms (including Sections 8, 9, 10, and 11) for the duration of their use of the Service, regardless of whether they register an account.

4.3 Nature of the Speeket Code

A Speeket Code represents a prepaid balance of call minutes (a "Balance") purchased by the Account Holder. The Speeket Code: (a) is not tied to any single Recipient and may be used to connect with multiple different Recipients over time, provided a Balance remains available; (b) remains valid and usable for thirty (30) days from the date of purchase or, if partially used, from the date of the most recent call, after which any remaining Balance is forfeited without refund; (c) is non-transferable for value and may not be resold, and confers no ownership interest of any kind.

4.4 No Guarantee of Connection

Speeket does not guarantee that any Recipient will accept, open, or respond to a Speeket Code.

5. Fees, Billing, and Automatic Recharge

5.1 Initial Purchase

The Service is offered on a pay-per-use basis. The current introductory rate is five U.S. dollars ($5.00) for fifteen (15) minutes of call time ("Trial Balance"), subject to change as described in Section 5.4.

5.2 In-Call Recharge Authorization

By completing your initial purchase, you expressly authorize Speeket to process additional charges of the same amount and duration (each, a "Recharge") on a one-tap basis during an active call, without any additional confirmation screen, whenever you elect to extend your Balance using the in-call "+15 min" control. Each Recharge is a discrete, immediate charge to your payment method on file. You are responsible for all Recharges initiated through your account, whether or not intentional.

5.3 Payment Processing

All payments are processed through Apple's In-App Purchase system or Google Play Billing, as applicable, and are subject to the terms and refund policies of the applicable platform operator. Speeket does not directly collect or store payment card information.

5.4 Changes to Pricing

Speeket reserves the right to modify pricing, introduce subscription or monthly plans, or discontinue the Trial Balance pricing structure at any time, with notice provided through the Service or the applicable app store listing prior to the change taking effect for new purchases.

5.5 No Refunds

Except as required by applicable law or by the refund policies of the Apple App Store or Google Play Store, all purchases are final and non-refundable, including any unused portion of a Balance that expires under Section 4.3(b).

6. User Conduct

You agree not to use the Service to: (a) harass, threaten, abuse, stalk, or defame another person; (b) impersonate any person or entity or misrepresent your identity or age; (c) transmit unlawful, obscene, or sexually explicit material to a party who has not consented to receive it; (d) record, capture, screenshot, screen-record, retransmit, or otherwise reproduce any portion of a call without the express consent of the other participant, except where such recording is separately permitted by applicable law; (e) use the Service for any commercial solicitation, advertising, or unauthorized data collection; (f) attempt to circumvent, disable, or interfere with the security or proper functioning of the Service.

Speeket reserves the right, but has no obligation, to investigate and take appropriate action against any User who violates this Section, including suspension or termination of access, with or without notice.

7. No Screenshot or Recording Prevention

You acknowledge and agree that Speeket does not and cannot guarantee that a call participant will be prevented from capturing, recording, or otherwise preserving audio, video, or images from a call, whether through device-level screenshot or screen-recording functionality, a third-party device or application, or any other means. Any protective or detection features Speeket may offer from time to time are provided on a best-efforts, platform-dependent basis only and do not constitute a guarantee of privacy or non-disclosure. You should not share any information or engage in any conduct during a call that you would not be comfortable having recorded or disclosed.

8. Safety Disclaimer

Speeket does not conduct criminal background checks, identity verification beyond a valid phone number, or any other screening of users or Recipients. You are solely responsible for your interactions with other users and Recipients. Speeket strongly encourages users to exercise caution and sound judgment, including when deciding whether to share personal information or meet any other party in person. Speeket disclaims all liability for the conduct, whether online or offline, of any user or Recipient.

9. Privacy

Speeket's collection and use of personal information is governed by our Privacy Policy, which is incorporated into these Terms by reference. While the Service is designed so that your telephone number is not disclosed to the other call participant, Speeket does not guarantee absolute anonymity or that no other identifying information may be inferred from the content of your communications.

10. Intellectual Property

The Service, including all associated software, trademarks, logos, and content (excluding User-generated communications), is the property of Speeket or its licensors and is protected by applicable intellectual property laws. No rights are granted to you other than the limited, revocable, non-exclusive license to use the Service in accordance with these Terms.

11. Third-Party Services

The Service relies on infrastructure provided by third parties, including but not limited to voice/video communication providers, cloud database and hosting providers, and mobile platform operators (Apple Inc. and Google LLC). Speeket is not responsible for the availability, performance, or acts or omissions of these third-party providers.

12. Disclaimer of Warranties

The Service is provided "as is" and "as available," without warranties of any kind, whether express or implied, including without limitation implied warranties of merchantability, fitness for a particular purpose, non-infringement, or that the Service will be uninterrupted, secure, or error-free.

13. Limitation of Liability

To the maximum extent permitted by applicable law, in no event shall Speeket, its officers, directors, employees, or agents be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, data, or goodwill, arising out of or related to your use of the Service. Speeket's total aggregate liability for any claim arising out of these Terms shall not exceed the greater of (a) the amount you paid to Speeket in the six (6) months preceding the claim, or (b) fifty U.S. dollars ($50.00).

14. Indemnification

You agree to indemnify, defend, and hold harmless Speeket and its officers, directors, employees, and agents from any claims, damages, liabilities, costs, or expenses (including reasonable attorneys' fees) arising out of your use of the Service, your violation of these Terms, or your interactions with any other User or Recipient.

15. Termination

Speeket may suspend or terminate your access to the Service at any time, with or without cause or notice, including for violation of these Terms. You may stop using the Service and delete your account at any time. Sections 5.5, 7, 8, 10, 12, 13, 14, and 16 shall survive termination.

16. Governing Law and Venue

These Terms are governed by the laws of the Commonwealth of Puerto Rico, without regard to conflict-of-laws principles. You agree that any controversy or claim arising out of or relating to these Terms or the Service shall be brought exclusively in the state or federal courts located in Puerto Rico, and you consent to the personal jurisdiction of such courts and waive any objection to venue there.

17. Language

The Service may automatically display these Terms and other Service content in a language corresponding to the language settings of your device. Translated versions are provided for your convenience only. These Terms are originally drafted in English, and the English-language version shall govern and control in the event of any conflict, ambiguity, or discrepancy between the English version and any translated version.

18. Changes to These Terms

Speeket may modify these Terms from time to time. Material changes will be communicated through the Service or by other reasonable means prior to taking effect. Continued use of the Service after changes take effect constitutes acceptance of the revised Terms.
